Terms of Service

Last updated: 11 August 2026

These Terms of Service set out the terms under which MFP Trade Support, operated by Michelle Fraser-Pears as a sole trader, provides business support services to clients.

By engaging MFP Trade Support, accepting a quotation or proposal, purchasing a support package or otherwise instructing me to commence work, you agree to these Terms of Service unless alternative terms have been agreed in writing.

1. About MFP Trade Support

MFP Trade Support provides flexible business support primarily to businesses operating within the trade, construction, property and associated industries.

Services may include:

  • Administrative support
  • Customer service support
  • Sales support
  • Marketing support
  • Diary management and job scheduling
  • Training and compliance administration
  • Invoicing and credit control
  • Recruitment administration
  • General business support

The exact services, hours, deliverables and working arrangements will be agreed with each client before work begins.

2. Scope of Services

Services will be provided according to the scope agreed between MFP Trade Support and the client.

The client is responsible for providing clear instructions and supplying the information, documentation, system access and approvals reasonably required for the work to be completed.

Any work outside the agreed scope may require additional hours and may be charged separately.

MFP Trade Support reserves the right to decline work that falls outside my experience, professional capabilities or agreed services.

3. Support Packages & Hours

Where a client purchases a monthly support package, the number of hours included will be confirmed before the package begins.

Time spent carrying out agreed client work, including associated administration and client communications where appropriate, may be deducted from the client's allocated hours.

Additional hours requested beyond the agreed package will only be undertaken subject to availability and agreement with the client.

Unless otherwise agreed in writing, unused monthly hours do not roll over into subsequent months.

4. Ad Hoc Support

Ad hoc support may be available subject to availability.

The applicable hourly rate and any minimum booking requirement will be confirmed before work begins.

MFP Trade Support cannot guarantee ongoing availability for clients using ad hoc support.

5. Fees & Payment

Current pricing will be displayed on the MFP Trade Support website or confirmed directly with the client.

Monthly packages are payable in advance, unless otherwise agreed in writing.

Ad hoc or project work may be invoiced in advance, on completion or according to an agreed payment schedule.

Invoices must be paid within the payment terms stated on the invoice.

MFP Trade Support reserves the right to pause or suspend services where an invoice becomes overdue.

The client remains responsible for paying all fees properly incurred for work completed on their behalf.

6. Pricing Changes

MFP Trade Support may review and amend its prices periodically.

Existing clients will be given reasonable notice of changes affecting their ongoing support package.

Any pricing change will not retrospectively affect work already completed or fees already agreed.

7. Cancellations & Monthly Packages

Clients may cancel an ongoing monthly support arrangement by providing 30 days' written notice, unless a different notice period has been agreed in writing.

Work will continue during the notice period unless otherwise agreed.

Fees already paid for work completed or hours allocated during the applicable period are non-refundable except where required by law or expressly agreed otherwise.

One-off projects or booked work may have separate cancellation arrangements, which will be confirmed where applicable.

8. Client Responsibilities

The client is responsible for:

  • Providing accurate and complete information
  • Providing instructions within reasonable timescales
  • Supplying necessary access to systems and documents
  • Maintaining appropriate licences and subscriptions for software used by their business
  • Reviewing and approving work where approval is required
  • Making final business decisions
  • Ensuring their business complies with applicable laws, regulations and industry requirements
  • Maintaining appropriate backups of important business information

MFP Trade Support is not responsible for delays caused by missing information, delayed approvals, inaccessible systems or circumstances outside my reasonable control.

9. Training & Compliance Support

Training and compliance services provided by MFP Trade Support are administrative support services.

This may include maintaining records, monitoring expiry dates, arranging training, coordinating renewals and assisting with documentation.

MFP Trade Support does not act as a certification body, awarding organisation, regulator, technical adviser or compliance consultant.

Responsibility for ensuring that the client and their employees meet applicable legal, regulatory, technical and industry requirements remains with the client.

10. Invoicing & Credit Control

MFP Trade Support may prepare and issue invoices, record or match customer payments, monitor outstanding invoices and communicate with customers regarding overdue accounts when instructed by the client.

The client remains responsible for the accuracy of financial information supplied to MFP Trade Support and for approving any information where approval has been agreed as part of the process.

MFP Trade Support does not provide accounting, tax, financial or legal advice and does not guarantee that invoices or debts will be paid.

Any formal debt recovery or legal proceedings remain the responsibility of the client and appropriately authorised professionals.

11. Recruitment Support

Recruitment services provided by MFP Trade Support are primarily administrative and may include preparing vacancy advertisements, managing applications, reviewing CVs against client-specified criteria, arranging interviews, communicating with candidates, requesting references and coordinating onboarding documentation.

The client remains responsible for final recruitment decisions, determining candidate suitability, verifying qualifications or licences where required and ensuring their recruitment practices comply with applicable employment and equality legislation.

MFP Trade Support does not guarantee the suitability, performance or continued employment of any candidate.

12. Sales & Marketing Support

MFP Trade Support may assist with activities such as lead research, enquiry management, quotation follow-up, CRM administration, social media, website content, email marketing and other agreed promotional activities.

MFP Trade Support does not guarantee specific levels of enquiries, sales, revenue, website traffic, search rankings or other commercial results.

The client remains responsible for approving marketing claims, offers, pricing and promotional content where appropriate.

13. Confidentiality

MFP Trade Support understands that I may have access to confidential or commercially sensitive information while providing services.

I will take reasonable steps to protect confidential client information and will not intentionally disclose it to third parties except:

  • Where required to provide the agreed services
  • Where authorised by the client
  • Where required by law
  • Where professional advice is reasonably required

Clients must also respect confidential information belonging to MFP Trade Support.

These confidentiality obligations continue after the working relationship ends.

14. Data Protection

Both MFP Trade Support and the client agree to comply with applicable UK data protection legislation.

Depending on the services being provided, MFP Trade Support may act as either a data controller or data processor.

Where I process personal information on behalf of a client, additional data-processing terms or a Data Processing Agreement may be required.

Clients are responsible for ensuring they have an appropriate lawful basis for personal information they instruct MFP Trade Support to process on their behalf.

Further information about how MFP Trade Support handles personal information is available in the Privacy Policy.

15. Passwords & System Access

Where access to client systems is required, the client is responsible for providing appropriate authorised access.

Where possible, clients should create individual user accounts rather than sharing personal passwords.

MFP Trade Support will take reasonable steps to keep login information and system access secure and will only access systems for legitimate agreed business purposes.

Access should be removed by the client when it is no longer required.

16. Intellectual Property

Unless otherwise agreed, the client retains ownership of materials and information they provide to MFP Trade Support.

Once all applicable invoices have been paid, materials created specifically for the client as part of the agreed services will generally belong to the client, unless otherwise agreed in writing.

MFP Trade Support retains ownership of its pre-existing templates, processes, systems, know-how, branding and other intellectual property.

Third-party software, images, templates and materials remain subject to the rights and licence conditions of their respective owners.

17. Third-Party Services

MFP Trade Support may use or interact with third-party platforms, software and service providers when delivering agreed services.

I am not responsible for interruptions, outages, changes, errors or failures caused by third-party services that are outside my reasonable control.

Where a paid third-party service is required specifically for a client's work, responsibility for the cost will be agreed before it is purchased.

18. Availability & Communication

Normal working arrangements and preferred communication methods will be agreed with each client.

MFP Trade Support does not provide a guaranteed 24-hour or emergency response service unless specifically agreed in writing.

Response times may vary depending on workload, availability, holidays and the urgency of the request.

Clients will be informed of planned periods of unavailability wherever reasonably possible.

19. Limitation of Liability

MFP Trade Support will provide services with reasonable care and skill.

To the fullest extent permitted by law, MFP Trade Support will not be liable for indirect or consequential losses, loss of profit, loss of opportunity or loss arising from decisions made by the client based on information or administrative support provided.

MFP Trade Support will not be responsible for losses caused by inaccurate information supplied by the client, client instructions, third-party systems or circumstances outside my reasonable control.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

20. Ending Services

Either party may end the working relationship in accordance with the agreed notice arrangements.

MFP Trade Support may suspend or terminate services immediately where there is:

  • Serious or repeated non-payment
  • Abusive, threatening or inappropriate behaviour
  • A request to undertake unlawful or unethical activity
  • Serious misuse of services
  • A significant breach of these Terms

Any outstanding fees for work already completed remain payable.

21. Changes to These Terms

MFP Trade Support may update these Terms of Service periodically.

Current clients will be informed of material changes affecting their ongoing services where appropriate.

The latest version will be available on the MFP Trade Support website.

22. Governing Law

These Terms of Service and any dispute or claim arising from them are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any rights that cannot lawfully be excluded.
